Guggenheim Explores Affiliate Buybacks as Distressed Loan Collapses

Guggenheim Investments informed lenders that affiliated companies may purchase portions of a distressed $1.18 billion loan issued by GIH Borrower LLC. The debt plunged to record lows of 72.5 cents on the dollar following federal investigations and a severe earnings decline.

The loan due in 2031, which was priced in November 2024, dropped more than 5 cents on Monday to hit its lowest level. The secondary-market collapse represents a 20-point drop that implies the market is pricing in roughly $319 million in total value at risk.

The sharp decline followed second-quarter financial results showing a 77 percent plunge in a key earnings metric. Guggenheim executive leadership attributed the earnings drop to a timing issue, stating that expected advisory fee revenues were shifted into the third quarter instead of being recognized in the second quarter.

In addition to revenue delays, federal regulators are examining related-party lending practices involving insurers controlled by Chief Executive Officer Mark Walter. Probes are currently focusing on whether funds from affiliated insurance companies were channeled into other segments of Walter's wider financial business empire.

Guggenheim convened a call with lenders last week to assuage growing concerns over revenue drops and corporate governance risks. The asset management arm, which oversees $367 billion in assets under management, has reported no formal defaults on the debt vehicle despite the distressed secondary pricing.

Institutional creditors holding portions of the $1.18 billion loan now face decisions on whether to sell at distressed prices, hold for recovery, or wait for formal affiliate purchases. Future market valuation for the debt will depend heavily on the accuracy of third-quarter earnings releases and the outcome of the federal inquiry.
